Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you") and ZerwOne Network LLC, a limited liability company organized in the United States ("ZerwOne", "we", "us"), governing your access to and use of the Sentrail Guard application, website, APIs, and related services (collectively, the "Service"). By creating an account, clicking "I agree", or otherwise using the Service, you represent that you have read, understood, and agree to be bound by these Terms.

You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for safeguarding your credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use.

The Service performs read-only security analysis of databases and systems you connect, and — at your explicit instruction — applies configuration changes you preview and approve. You acknowledge that security tooling cannot guarantee detection of every vulnerability and that you remain responsible for your own systems.

You grant ZerwOne a limited, non-exclusive license to process the credentials, queries, and metadata you submit solely for the purpose of providing the Service. Connection strings are held in volatile memory for the duration of a request and are not persisted in our databases. See our Privacy Policy for details.

You agree not to: (a) use the Service to access systems you are not authorized to test; (b) reverse engineer, decompile, or attempt to extract source code, except to the extent expressly permitted by applicable law; (c) interfere with or disrupt the integrity or performance of the Service; (d) use the Service to violate any law or third-party right; (e) attempt to circumvent rate limits or authentication.

Paid plans are billed in advance on a recurring basis. All fees are non-refundable except as required by law or expressly stated. ZerwOne may change pricing on at least thirty (30) days' notice; the new pricing applies at the start of your next billing cycle.

The Service, including all software, design, content, and trademarks, is and shall remain the exclusive property of ZerwOne and its licensors. Nothing in these Terms transfers any intellectual property rights to you except the limited right to use the Service in accordance with these Terms.

Each party agrees to protect the other's confidential information using the same degree of care it uses to protect its own (and no less than a reasonable degree of care) and to use such information solely to perform its obligations under these Terms.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. ZERWONE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ZERWONE NETWORK LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL CUMULATIVE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

You agree to defend, indemnify, and hold harmless ZerwOne and its affiliates from any claim, damage, loss, or expense (including reasonable attorneys' fees) arising out of your breach of these Terms, your use of the Service, or your violation of any law or third-party right.

Either party may terminate these Terms at any time by closing the account. We may suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to use the Service ceases. Sections that by their nature should survive termination (including IP, disclaimers, limitations, and indemnity) will survive.

These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and the parties consent to the personal jurisdiction of those courts.

We may revise these Terms from time to time. We will post the revised Terms with an updated effective date and, for material changes, will provide reasonable advance notice. Your continued use of the Service after the effective date constitutes acceptance.
